BrickX Platform Member’s Meeting – vote opens 22 November 2018

Proposed change of responsible entity and trustee: appointment of BrickX Financial Services Limited (ACN 616 118 088) (AFSL 494878)


Background


Currently, Theta Asset Management Ltd (ABN 37 071 807 684) (AFSL 230920) (Theta) is the responsible entity of the BrickX Platform (ARSN 613 156 433) (BrickX Platform) and is the trustee of each BrickX Trust. The Brick Exchange Pty Limited (ABN 27 600 762 749) (BrickX) is the appointed manager of the BrickX Platform and is responsible for the investment and operations.


Theta proposes to retire from the above noted roles and wishes to appoint BrickX Financial Services Limited as the new responsible entity and trustee. On 22 November 2018, Theta called a meeting of members of the BrickX Platform to approve its retirement as responsible entity of the BrickX Platform. The meeting is scheduled to be held at 10am on 22 January 2019.


Why are BrickX and Theta proposing the change of responsible entity and trustee?


In summary, BrickX is seeking to internalise the responsible entity role for the BrickX Platform. The purpose of the change is to support and increase operational and cost efficiencies for members. Theta has been working with BrickX since the establishment of the BrickX Platform and now the BrickX Platform has reached a size at which it is appropriate to consider this change.


The proposed changes will support BrickX’s ability to release BrickX product enhancements more quickly, including for example a proposed BrickX app. BrickX seeks to continually improve customer experience and deliver continued growth as they strengthen their hold on disrupting the property investment market. With an internal responsible entity, oversight and insight into those needs will be more closely aligned and managed by BrickX. As BrickX evolves with future growth opportunities identified in non-traditional markets and technologies, we believe the proposed changes will advantage members.


It is important to note that a change in responsible entity will not impact the ongoing management of the BrickX Platform.


Theta agree that its retirement is appropriate, as it will not adversely affect members.


What do I need to do and how do I participate in the vote?


Members of the BrickX Platform at 5pm on 18 January 2019 are entitled to vote on the proposed resolutions. The value of votes will be determined at 10am on 21 January 2019.


Members may vote in either of two ways:


  1. Online via Proxy: by completing the proxy form online from 22 November 2018 to 20 January 2019. CorpVote Pty Limited have been appointed to manage the voting process online. Each member will receive via email a Voter Access Code from CorpVote to participate. Should you not receive your code, please contact CorpVote on 1300 147 797 or email [email protected]
  2. Attendance: you can either vote by attending the meeting in person or via teleconference. If you plan to attend the meeting in person or via teleconference please RSVP by emailing [email protected] no later than 5pm on 15 January 2019.

Note that the costs and expenses associated with the calling the vote are being funded by BrickX directly and not out of the assets of the BrickX Platform.
